TRUE REWARDS PROGRAM
TERMS AND CONDITIONS

Effective as of: October 16, 2024

SECTION 1. OVERVIEW
These True Rewards Program (“Program”) Terms and Conditions (“Terms”), along with the True Religion (together with its affiliates and subsidiaries) (“TR”) Terms of Use and Privacy Policy (collectively the “TR Terms”) constitute an agreement between you and TR relating to your participation in the Program (“Agreement”). Please read these Terms, the Terms of Use and Privacy Policy carefully because they affect your legal rights, including an agreement to resolve any disputes that may arise between TR and you through arbitration on an individual basis instead of by class actions or jury trials. Upon enrollment in the Program, you become a "Member" and you will receive access to certain benefits in accordance with the Terms herein, or as provided by TR or online at www.truereligion.com in the United States (“Membership”). The Terms, Term of Use and Privacy Policy, govern participation in the Program and TR’s use of personal information under the Program. In the event of a conflict between these Terms and the Terms of Use and/or the Privacy Policy, these Terms and Privacy Policy will govern. Your agreement to these Terms constitutes consent and provides your permission to TR to use your personal information as set forth herein.

SECTION 2. ELIGIBILITY
To participate in the Program, you must be a legal resident of the fifty (50) United States or the District of Columbia and sixteen (16) years of age or older. If you are between sixteen (16) and eighteen (18) years of age, you may only participate in the Program under the supervision of a parent or legal guardian who agrees to be bound by these Terms. TR may change these eligibility requirements at any time, with or without notice, and reserves the right to refuse Membership to any applicant for any reason, in its sole discretion.

SECTION 3. HOW TO ENROLL
Enrollment in the Program is free and optional by providing the required information, including setup of a qualifying password or entry of an existing truereligion.com password, online at truereligion.com or via the True Religion mobile application (the “APP”). New members can also enroll in True Religion stores by providing an associate with their name, email and phone number at check out. Enrollment also includes an optional questionnaire. Upon registering for the Program, individuals will receive an email confirming that they are a Member. You represent that all information you provide during registration and throughout your participation in the Program is true and accurate, and you agree to update such information, as necessary to maintain its truth and accuracy.

SECTION 4. PROMOTIONS
Upon enrollment and account creation, Members will immediately be eligible for the following benefit(s), which are subject to change and may immediately terminate upon Member’s disqualification from or voluntary withdrawal from the Program:

1. Member will receive a “Welcome” email consisting of a one-time reward for a $15 off a $150 or more purchase (after any other discounts and excluding taxes, shipping charges, gift card purchases or other non-product additional charges) valid for a ninety (90) day period after initial enrollment for redemption online only (www.truereligion.com). This email will include all the exclusions and limitations for the one-time reward code.

SECTION 5. GENERAL TERMS OF PROGRAM
Limit one (1) Membership per person. If there is a dispute regarding ownership of the Membership, the owner will be deemed to be the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Each Member is responsible for providing a correct email address, as well as updating his/her email address as necessary for use in connection with the Program. TR will send Program-related emails, including but not limited to the following:

1. Welcome email;
2. Recurring Membership status statements and/or updates;
3. Promotions;
4. Other marketing communications; etc.

To not receive these emails, Member must cancel his/her Membership. These emails will be in addition to any Program marketing or brand marketing emails Member may have also subscribed to receive. TR may also send Program-related notifications through the TR APP and via SMS, as applicable. To not receive these notifications, Member must opt out of receiving them online.

By signing up for the Program, Member will also be signed up to receive brand marketing emails. To not receive these brand marketing emails, click on the self-service unsubscribe link found in the footer of any brand marketing email, or follow the instructions listed in the Privacy Policy.

To CANCEL a Membership, a Member must check opt out in their online account or contact True Religion at cs@truereligion.com. A Member is not required to make purchases to qualify for the Program. TR reserves the right, in its sole discretion, to determine any individual from enrolling in the Program or to suspend and/or remove any Member from the Program for any reason, including suspected re-sellers and/or wholesales, or in the event of any suspected fraud, abuse, or misuse in connection with this Program. TR reserves the right to change, suspend, or terminate the Program, the benefits or any of its associated Terms at any time and in any manner with or without notice. Any subsequent Terms supersede prior versions. Your continued participation in the Program constitutes your acceptance of any changes to these Terms. You are responsible for remaining knowledgeable of any changes to the Terms.

SECTION 6. MEMBER BENEFITS – EARNING POINTS, RETURNS, POINT EXPIRATION, REDEEMING POINTS AND OTHER MEMBER BENEFITS
True Rewards is TR’s program that endeavors to reward and thank loyal customers for shopping at our stores or online at www.truereligion.com and purchasing TR products. True Rewards members are able to earn and accumulate "Points" that can be redeemed for reward benefits ("Rewards") online or in store. 

Earning Points
The Rewards that are available to you through True Rewards are based on the number of points that you earn. You can earn points by making purchases in the following ways:

• Online through www.truereligion.com; or
• In-store by providing the relevant information to the sales associate at checkout.

You will earn one (1) point for every $1.00 (USD) spent*, in addition to other ways to earn points after signing up as described below:

• Write a Review – Earn 10 points
• Snap a Review – Earn10 points
• Join our Email List – Earn 10 points
• Let’s Text (sign up for SMS alerts) – Earn 10 points
• Download the App – Earn 10 points
• Follow us on Instagram – Earn 5 points

*All purchases and spend thresholds are calculated after any other discounts are applied, and exclude taxes, shipping charges, gift card purchases or other non-product additional charges associated with the order. Points will be rounded up to the nearest whole dollar. No points will be earned if you checkout as a “Guest.”

Returns:
For information about returns, please read our Returns policy https://www.truereligion.com/returns?lang=default. Your point balance may be impacted by returns as follows:

• If you return merchandise, TR will deduct the points that you earned for that purchase, potentially resulting in a negative points balance on your account and/or moving down to a lower “Tier” status.
• If you converted points to a Reward for a purchase, upon return, we will credit the points back to your True Reward account upon processing the return.

Point Expiration:
Unless otherwise noted, points are automatically added to your account within 72 hours from an eligible purchase made in stores, and 72 hours from the shipping confirmation of an eligible purchase made online, and expire 365 days after the calendar month in which such points were earned if there is no activity in the account. Once converted to a Reward online, a Reward expires thirty (30) days after issuance. If points are converted to a Reward in store, a Reward expires upon purchase (subject to the return procedure above).

Redeeming Points:
Points may be redeemed for Rewards. Your Reward redemptions will be available in your account online or an associate in store can look them up for you at the point-of-sale. Rewards may not be used to purchase gift cards.

SECTION 7. NO WARRANTY
TR and its respective subsidiaries, divisions, and affiliate entities, along with each such company’s respective officers, directors, employees, and agents make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the Program or any products or services related to the Program or that the Program will be free from defects or viruses or that operation of the Program will be uninterrupted. You are solely responsible for any damage or injury resulting from your participation in the Program and/or redemption of any promotion.

SECTION 8. RELEASE OF LIABILITY
By agreeing to participate in the Program, Members release TR, its parent and subsidiaries and affiliate entities, and their respective, directors, officers, employees and agents (the “Released Parties”) from all liability with respect to the Program or the misdirection or misuse of any promotion. By participating in the Program, Members hereby release the Released Parties from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, attorney’s fees) relating to participation in the Program, use of the Program and its benefits, or agreement to these Terms, the TR Terms of Use and Privacy Policy.

SECTION 9. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT
By participating in this Program, you agree that any dispute in any manner arising out of or relating in any way to this Agreement, its enforcement or interpretation, or because of an alleged breach, default, or misrepresentation in connection with any of its provisions, shall be submitted to binding arbitration with Judicial Arbitration and Mediation Services, Inc. ("JAMS") in the Los Angeles, California area. ARBITRATION MEANS THAT YOU WILL NOT HAVE AND YOU WAIVE THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS. Rights to the prehearing exchange of information and other discovery, as well as appeal rights, are more limited than were you to sue in court. This arbitration provision is equally binding on claims brought by True Religion as on claims brought by you or others. Arbitrations will be conducted under the applicable JAMS rules. The parties to arbitration will have all the same claims, legal rights, and remedies in arbitration that would be available in court. A single neutral arbitrator shall be selected in accordance with the JAMS Streamlined Arbitration Rules, which shall provide you a reasonable opportunity to participate in the arbitrator selection. It is further agreed that any disputes as to whether the scope of this arbitration provision covers the claim will be submitted to the arbitrator, and not a court, for decision. The parties to arbitration will have full right to use legal counsel at their own expense. All costs of arbitration (including arbitrator fees) shall be paid by TR, except if you bring the arbitration, you may be charged an initial filing fee that shall not exceed the filing fees that you would incur for bringing an action in court. You will not be required to pay fees and costs incurred by the opposing parties if you do not prevail in arbitration. In arbitration, the parties may conduct reasonable discovery and shall reasonably exchange non-privileged information relevant to the dispute. The arbitrator's award shall be in writing and provide a written statement of the essential findings and conclusions. The arbitrator will not have the power to commit any error of law or legal reasoning, and the award may be vacated or corrected on appeal to a court of competent jurisdiction for any such error. As an exception to this arbitration provision, no one subject to the provision will be precluded from seeking remedies for disputes or claims less than $10,000 in the aggregate that can be brought in a court of competent jurisdiction.

ANY ARBITRATION SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. It is expressly understood and agreed that neither you nor True Religion are entitled to arbitrate or bring any dispute covered by this arbitration provision as a class, consolidated, representative, collective, or private attorney general action, and the arbitrator(s) will have no authority to proceed on a class, consolidated, representative, collective, or private attorney general action basis. This means:

• You cannot bring a claim as a plaintiff or class member in a class action, consolidated action or representative action.
• The arbitrator cannot combine more than one person’s claim into a single case, and cannot preside over any consolidated, class or representative arbitration proceeding (unless we both agree to change this).
• The arbitrator’s decision or award in one person’s case can only impact the person who brought the claim, not other True Religion customers, and cannot be used to decide other disputes with other customers.

If any part of the agreement to arbitrate in this section is found unenforceable, the unenforceable term will be severed and the remaining arbitration terms will be enforced (but in no case will there be a class, representative or private attorney general arbitration). In the event that any of the class action restrictions are ever deemed illegal or unenforceable, the illegally deemed or unenforceable restriction(s) shall be severed from this arbitration provision, and any class action shall be exempted from this arbitration provision and brought in court. This arbitration provision is subject to the Federal Arbitration Act and may be enforced in any court of competent jurisdiction.

SECTION 10. TERMINATION
With the exception of the Arbitration Agreement, which shall survive the termination of these Terms, these Terms are effective unless and until terminated by TR or until you cancel your Membership. You may terminate this Agreement at any time by cancelling your Membership. TR also may terminate this Agreement at any time without notice, and accordingly may deny you access to the Program, if in its sole judgment you fail to comply with any term or provision of the Agreement. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.

SECTION 11. GENERAL
This Agreement shall be governed by the laws of the State of California without regard to choice of law principles, except for the Arbitration Agreement above, which shall be governed by the Federal Arbitration Act. The waiver of any provision of the Agreement shall not be considered a waiver of any other provision or of TR ’s right to require strict observance of each of the Terms herein. If any provision of the Agreement is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between you and TR relating to your use of and/or participation in the Program. Review the Terms of Use and Privacy Policy here.
